1. Who you are contracting with

These Terms are a binding agreement between you and GRAPHENE ROCK CAPITAL (trading as PlannasHub) ("we", "us", "our"), governing your access to and use of the PlannasHub platform, websites, APIs and applications (the "Service").

2. Acceptance

By creating an account, accessing or continuing to use the Service you agree to these Terms. If you do not agree, do not use the Service.

3. Authority & eligibility

You confirm that you are at least 18 years old and, if you are using the Service on behalf of an organisation, that you have authority to bind that organisation to these Terms.

4. Licence to use the Service

Subject to these Terms and your selected plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

5. Acceptable use & misuse

You must not, and must not permit anyone to: (a) use the Service unlawfully; (b) commit fraud, send spam, or distribute malware; (c) infringe intellectual-property or privacy rights; (d) probe, scan, scrape, reverse engineer, or interfere with the security or integrity of the Service; (e) resell or sublicense the Service; or (f) circumvent technical limits or usage quotas.

6. Account credentials & accuracy

You are responsible for keeping your credentials confidential, for all activity under your account, and for providing and maintaining accurate, current and complete information.

7. User content

You retain ownership of content you submit. You grant us a worldwide, royalty-free licence to host, store, transmit and process that content solely to provide, secure and improve the Service.

8. Intellectual property

We and our licensors retain all right, title and interest in and to the Service, including all software, documentation, branding and improvements. No rights are granted to you except as expressly set out in these Terms.

9. AI features

The Service includes generative-AI features. You are responsible for your prompts, for verifying the accuracy and appropriateness of outputs, and for ensuring you have the rights to any content you submit. You must not use AI features to generate illegal content, deepfakes, hateful content, malware or to attempt to circumvent safety controls. Outputs may be inaccurate and are not a substitute for qualified professional advice. We may remove content, refuse outputs, restrict access and suspend accounts for breach of these rules; repeated infringement may result in termination.

10. Payments & subscriptions (Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Checkout Buyer Terms. Subscriptions renew automatically until cancelled in line with the published plan terms.

11. Service availability

We work hard to keep the Service available but do not guarantee uninterrupted, error-free or secure operation. Scheduled maintenance, third-party outages and force-majeure events may affect availability.

12. Warranties & disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, special or incidental damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

14. Indemnity

You will indemnify and hold us harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

15. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data within 30 days, after which we may delete it.

16. Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.

17. Force majeure

Neither party is liable for delay or failure to perform due to events beyond reasonable control.

18. Governing law & venue

These Terms are governed by the laws of Jamaica. The courts of Jamaica have exclusive jurisdiction over any dispute.
